1.1. This Agreement is an accession agreement. By registering in the Service, the User becomes the subject of the Agreement (acceptor) and fully accepts the terms of the Agreement.
1.2. This Agreement, concluded by its acceptance, is valid in electronic form and does not oblige the Parties to sign it. It is valid electronically.
2.1. In compliance with this Agreement, the SEOGUN Service Administration provides the User with the Service and its services (hereinafter referred to as the Service).
2.2. The User must read this Agreement in full before registering for the Service.
2.3. The Agreement applies to any Updates and versions of the Service.
2.4. This Agreement can be changed by the Service Administration unilaterally without any restrictions.
2.5. The User fully accepts all changes and additions to the Agreement by continuing to use the Service.
2.6. The SEOGUN Service is the result of the intellectual work of the Service Administration. Exclusive rights to the Service, content and any copies related to the Service belong to the Service Administration.
3.1. In order to use the Service, the User undertakes to provide true and complete information about themselves in the registration form and in their personal account on the website and undertakes to keep this information up to date. After completing the registration process, the User may use their chosen login (a unique symbolic name for their user account) and password to access the personalized section of the SEOGUN Service.
3.1.1. The username must not breach generally accepted norms and must not appear offensive to other users;
3.1.2. Once a login is chosen, it cannot be changed later;
3.1.3. The Login is used to access the Service by only one User from one device, IP address and location at a time.
3.2. The User can create Projects after registering in the Service. A "project" consists of a website URL, a set of keywords, a language, and a set of search engines that are tracked, monitored, and analyzed.
3.3. When registering in the Service, the User receives a personal account, to which he can replenish funds to pay for the services of the Service. Information about the type of services, cost and applied (used) account bonuses is available in the Price List section on the Service website. Payment for services can be made by Visa/MasterCard cards or bank transfer with 100% prepayment for the selected service according to the Tariff Plan.
3.4. If the selected service type in the "Price List" section (subscription plan) includes multiple user seats, you may only grant access to the Service to the number of Users specified in the selected subscription plan, provided that each additional User agrees to be bound by the agreement.
3.5. The number of Users accessing the Service must not exceed the limit on the number of Users provided for by the selected subscription plan.
3.6. If the Service Administration detects repeated access to the Service under the same login from different places, devices and IP addresses, the Service Administration has the right to immediately suspend access to the Service for the corresponding User and Users associated with him. In order to control compliance with the above restrictions, the Service Administration does not allow the technical possibility of simultaneous access to the Service from different devices and IP addresses under the same login.
3.7. By registering in the Service, the User agrees to receive emails from the SEOGUN Service. These e-mails include: newsletters about promotions of the Service, e-mails with reports about search results and analyses of the Service, and technical and marketing e-mails. The User may opt out of receiving newsletters at any time.
3.8. The User is given a free 14-day trial period of the Service when registering to the Service for the first time. The Site administration is entitled to unilaterally decide which services and functions of the Site are available to the User during the trial period.
3.9. Paid services are considered to be properly rendered and accepted by the User in full if no motivated request is sent to the Service Administration within 7 days from the moment the User receives the services.
3.10. The Service Administration provides technical support to the User on any issues related to the functioning of the Service and the services provided. In order to receive technical support the User can create a ticket in the Personal Area or send a request to firstname.lastname@example.org
4.1.1. The User is prohibited from passing on the logins and passwords used to access the Service to third parties. The User is responsible for the security and confidentiality of their logins and passwords. In case of unauthorized access to the username and password and/or the User's account, the User must immediately notify the Administration of the Service.
4.1.2. The User undertakes not to take any actions that violate the laws of the Republic of Armenia / Russian Federation1 or perform any actions that may lead to malfunctioning of the Service.
4.1.3. The User agrees not to use any software that allows automatic downloading and processing (parsing) the web pages of the Service in order to extract the necessary data.
4.1.4. The User may not in any way sell or sell their personal account on the SEOGUN Site to any third party.
4.1.5. The User may not use the Project in any manner which violates the laws of the Republic of Armenia / Russian Federation.
4.2.1. The User is provided with access to the Service 24/7, except when maintenance is carried out or when emergency service is required to eliminate failures or malfunctions in the operation of the Service.
4.2.2. The User has the right to use the Service and the Projects created by it within the limits of the functionality of the Service and on the terms established by the Agreement.
4.2.3. The User has the right to replenish the balance of his account for any amount of money to use the paid services of the Service.
4.2.4. The User has the right to choose any Tariff for using paid services. The User must accept and pay the money transfer fee when purchasing a subscription to the Plan or replenishing the account balance. Before making a payment, the User must familiarize himself with the rules of payment operators.
4.2.5. The User has the right to submit a request through a ticket to delete his account and information about the User stored in the system. The user account and information will be deleted within 3 working days of sending the request. An alternative way to refuse to use the Service and delete the User's information is to send a request to the Service's support team at email@example.com.
4.2.6. The User is informed and agrees that the Administration of the Service does not refund paid or unused funds, with the exception of cases of low-quality, non-conforming Service obligations, provision of a service or in compliance with the terms of a special promotion.
4.2.7. In the event of the service of the low quality, the Service User may return any funds paid to SEOGUN. The funds will be received within 14 banking days in the same way that the payment for the subscription or replenishment of the User's account was made.
4.3.1. The Administration of the Service is obliged to provide the User with access to the Service immediately after the User's registration on the Service.
4.3.2. The Administration of the Service undertakes to ensure uninterrupted operation of the Service, unless the failures are caused by external factors beyond the control of the Service Administration or temporary downtime for maintenance.
4.3.3. The Administration of the Service ensures the safety of User data, including search queries by keywords, without limitation of time.
4.4.1 The Service Administration reserves the right to unilaterally delete Projects created by the User if the User's account has not been used for 30 days.
4.4.2. The Service Administration reserves the right to change/delete the User's account if the User's login:
- Violates generally accepted and established norms of morality;
- Insults other visitors;
- Contains obscene words or expressions;
- Calls for national discord;
- Other cases specified in the legislation of the Republic of Armenia / Russian Federation.
4.4.3. The Service Administration reserves the right to block access to Projects created by the User in case of late payment by the User. Three days after the delay in payment for services, the rating update can be stopped. Upon expiration of 60 days after the late payment for the Subscription, the User's Projects shall be deleted from the system.
4.4.4. The Service Administration reserves the right to change, update the content and functionality of the Service, including changing its interface at any time without prior notice to the User of any significant changes.
4.4.5. The Service Administration reserves the right to suspend the operation of the Service for preventive and repair work, as well as in case of emergency. The Service Administration notifies the User in advance of such suspension by posting relevant information in the Service.
4.4.6. The Service Administration is not responsible for the illegal actions of the User when the User pays for paid services. The Service Administration reserves the right to suspend or deny access to the SEOGUN Services unilaterally if there are suspicions of the User's involvement in illegal actions until the circumstances are clarified.
5.1. The Service is provided in its current form in compliance with the international principle "as is", which indicates that the Service is not liable for problems occurring in the process of updating, maintaining and operating the Service, as well as direct or indirect losses of the User, including lost profits and possible damage.
5.2. This Agreement is governed by, construed and applied in compliance with the Laws of the Republic of Armenia / Russian Federation. Herewith, the liability of the Service to the User in case of a claim for damages is limited to the amount of the services paid by the User for the last 30 calendar days.
5.3. The Service Administration reserves the right to unilaterally suspend or delete the User's account in case the User fails to fulfil its obligations and the terms of the present Agreement.
5.4. In the event that either Party is prevented from fulfilling any of its obligations under this Agreement as a result of natural disasters, acts or regulations of public authorities, failure of communication lines not attributable to the affected party, or any other delay or failure which arises from causes beyond the reasonable control of the Party (hereinafter called "Force Majeure"), the Party whose performance is affected shall immediately notify the other Party and do everything reasonably possible to resume performance. At the same time, this Party is released from liability for a period of 30 calendar days if it proves that the violation occurred due to force majeure circumstances.
5.5. In the event of any disputes or disagreements under the Agreement, the Parties will try to resolve all issues during the discussion. The Parties are obliged to first send their claims to each other before filing a claim in court. Claims from users are accepted electronically at the email address firstname.lastname@example.org or at the legal address of the Service.
6.1. The Agreement shall become effective on the date of registration of the User and shall remain in full force and effect until the Parties have fully performed their obligations.
6.2. Either Party may terminate this Agreement if the other Party materially breaches any of its representations, guarantees or obligations under this Agreement or commits any other material breach.
6.3. Independent Contractor. Nothing in this Agreement establishes or shall be construed as creating a partnership, joint venture, association or agency relationship between the Service Administration and the User or imposing any liability associated with such relationship on either Party. The Parties to this Agreement are independent contracting parties and nothing herein shall be construed as creating an employment relationship between the Parties. The Parties shall be solely responsible for the payment of any and all wages, taxes, deductions, contributions, unemployment insurance payments and other amounts due to their employees in connection with their activities under this Agreement. Neither Party has the power or authority to incur or create any obligation or liability on behalf of the other Party.
7.1. The Service Administration does not provide any other guaranties, except those expressly set forth in this Agreement.
7.2. The Service Administration is not responsible for any direct or indirect losses incurred by the User as a result of errors, omissions, interruptions or other similar reasons. The Service Administration does not guarantee the operability of remote networks or payment POS/systems that provide User access to services, their payment and functionality of which does not depend on the activity or inactivity of the Service Administration.
7.3. The User and the Service Administration guarantee that they:
- Enter into an agreement willingly;
- Are familiar with all the terms of the Agreement;
- Fully understand and accept the subject of the Agreement;
- Have all the rights and powers necessary to enter into and perform the current contract.
- Full consent. This Agreement constitutes the sole and exclusive agreement between the Parties, replaces and cancels any and all prior or contemporaneous agreements or contracts, written or oral.
